AuthorShelf Services and Publishing Agreement (Full)

Effective: June 24, 2026

This AuthorShelf Services and Publishing Agreement (“Agreement”) is entered into electronically at checkout between AuthorShelf, Inc. (“AuthorShelf,” “we,” “us”) and you (“Author,” “you”). Your Service Order (package selection, pricing, payment plan, and add-ons shown at checkout) is incorporated as Exhibit A. The Privacy Policy is Exhibit C. Content Guidelines are Exhibit B.

1. Scope & Relationship of Documents

This Agreement governs all publishing packages, editorial services, marketing services, subscriptions, and paid production work you purchase. The Website Terms of Use govern general site use. The Portal User Agreement governs Portal access. Electronic acceptance is under the Electronic Signatures Agreement.

2. Services & Service Order

AuthorShelf will perform the services listed for your selected package tier and any add-ons in your checkout Service Order. Deliverables, timelines, and production phases advance upon your Portal approvals. Illustrative marketing copy does not guarantee sales, reviews, rankings, or distribution outcomes.

3. Fees, Payment Plans & Recurring Services

You agree to pay all fees shown at checkout. Installment plans, deposits, and renewal subscriptions disclosed at purchase are binding. Late or failed payments may pause production per the Service Order. Optional recurring layers (market access, hosting, returns processing, success retainer) renew as disclosed until cancelled per checkout terms.

4. Copyright & Ownership

You retain ownership of your manuscript and creative work. AuthorShelf does not claim your underlying literary rights. You grant AuthorShelf a limited license to host, edit, format, produce, distribute, and market your Work solely to perform this Agreement. Production files created by AuthorShelf for your project are delivered per your package; ownership and usage rights are as stated in your Service Order and Content Guidelines.

5. Content Guidelines (Exhibit B) & Indemnification

You warrant that your Work is original or properly licensed, does not infringe third-party rights, and complies with law and our Content Guidelines. You indemnify and hold harmless AuthorShelf from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your content or breach of this Agreement. Indemnity survives termination.

6. Royalties & Accounting

Royalties from your sales are calculated and reported per the formulas and schedules in your Service Order and Portal tools. AuthorShelf provides statements through the Portal; you are responsible for reviewing them and raising disputes within stated windows.

7. Term, Termination & Suspension

This Agreement begins upon electronic acceptance at checkout and continues for the production and post-production periods described in your Service Order. Either party may terminate as provided in the Service Order. AuthorShelf may suspend services for non-payment, security concerns, or material breach. Sections that by nature should survive (payment obligations, indemnity, liability limits, dispute resolution) survive termination.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTHORSHELF SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM PURCHASED SERVICES SHALL NOT EXCEED THE FEES YOU ACTUALLY PAID TO AUTHORSHELF FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, EXCEPT WHERE PROHIBITED BY LAW.

9. Governing Law & Disputes

This Agreement is governed by the laws of the State of Tennessee, without regard to conflict-of-law rules. Disputes shall be resolved in courts located in Blount County, Tennessee, or as otherwise stated in your Service Order.

10. Electronic Signature

By completing checkout and clicking “Complete Purchase & Electronically Sign Services Agreement,” you electronically sign this Agreement, all Exhibits, and your Service Order under the Electronic Signatures Agreement. You confirm you are at least 18 years old and authorize immediate order processing.
